Terms of Use (humans and AI agents)

These Terms govern your use of the Oligrail websites, JSON API, paid lookup endpoints, and MCP server (the "Service"). The Service is operated by Oliktric LLC ("Oliktric," "we," "us"). By accessing the Service, whether as a person or through software, an AI agent, or an automated client (an "Agent"), you agree to these Terms. Making a paid request constitutes acceptance of these Terms, including Section 10 arbitration.
1. Eligibility and authority
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, or operate an Agent, you represent that you are 18+ and have authority to bind that organization, or the person or entity operating the Agent, to these Terms. The Agent's operator is responsible for all of the Agent's actions.
2. No warranty
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Scores are opinions, not facts or guarantees. We don't warrant that content is complete, current, or error-free, or that the Service will be uninterrupted.
3. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLIKTRIC AND ITS MEMBERS, MANAGERS, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR ANY RELIANCE ON IT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE CLAIM, OR (B) US $50.
4. Indemnity
You (and, for an Agent, its operator) will defend, indemnify and hold harmless Oliktric and its members, managers, contractors and agents from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your or your Agent's use of the Service, your violation of these Terms, or your violation of any law or third-party right.
5. Acceptable use (humans and Agents)
Don't: scrape or bulk-download beyond published rate limits; resell or redistribute our scores in bulk; bypass payment, rate limits or security; misrepresent our scores as your own or as guarantees; submit false corrections; or use the Service unlawfully. Agents must identify themselves with a descriptive User-Agent and honor HTTP 402/429 responses.

Paid lookups for agents are coming soon.
7. Third-party content and sources
We link to third-party sources. Their names identify sources only; we are not affiliated with or endorsed by them. Third-party content belongs to its owners. Where Google Maps content appears, your use is also subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
8. Corrections, takedown and copyright notices
Restaurant owners, rights holders and the public may request corrections or removal through /corrections or POST /v1/corrections. Copyright notices: privacy@oligrail.com. We may remove or change content at our discretion.
9. Intellectual property and open data
The Service, our scores, score components, source selections, claims, methodology and software are owned by Oliktric. We grant you a limited, revocable, non-exclusive license to use the Service under these Terms. Exception: restaurant names, addresses, coordinates and amenity tags derived from OpenStreetMap are © OpenStreetMap contributors, ODbL. They are not owned by Oliktric and are available under the Open Database License (https://opendatacommons.org/licenses/odbl/) at our OpenStreetMap-derived download endpoint (/v1/osm-export). Nothing in these Terms restricts your rights under the ODbL for those fields.
10. Dispute resolution: binding arbitration and class waiver
PLEASE READ CAREFULLY. Any dispute arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA). Disputes with individuals use the AAA Consumer Arbitration Rules; other disputes use the AAA Commercial Arbitration Rules. The arbitration will take place in the county where the consumer resides; for non-consumers, in Laramie County, Wyoming. Hearings may be held by video or phone where the AAA rules allow. However, either party may bring an individual claim in small-claims court, or seek injunctive relief for IP misuse. YOU AND OLIKTRIC WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by emailing privacy@oligrail.com.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, and by the Federal Arbitration Act.
12. Changes and termination
We may update these Terms by posting a new version with a new effective date. Material changes, and any change to Section 10, take effect 30 days after posting and never apply to disputes that are known to either party or pending before that date. Continued use after a change takes effect means you accept it. We may suspend or end access at any time.
13. General
- Entire agreement: these Terms, the Privacy Policy and the posted Methodology are the entire agreement between you and Oliktric about the Service.
- Severability: if any provision is unenforceable, the rest remains in effect. If the class waiver in Section 10 is found unenforceable for a claim, that claim proceeds in court and not in arbitration.
- No waiver: our failure to enforce a provision is not a waiver.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Survival: Sections 2, 3, 4 and 10, and any accrued payment obligations, survive termination.
